Dave Warner Joins MontaVista as CFO

E-Commerce, International Finance Profile Bolsters Channel Strategy

SUNNYVALE, Calif. -- February 29, 2000 -- MontaVista Software Inc., developer of the Hard HatTM Linux® operating system for embedded computers, today announces the appointment of David Warner as chief financial officer. Warner will be responsible for directing MontaVista financial operations, especially for supporting MontaVista's expansion, fueled by infusion of venture capital and corporate investment. Warner brings to MontaVista a combination of expertise in e-commerce and international finance in high-growth environments. Warner's hiring completes MontaVista's executive level staffing effort begun in November of 1999.

Warner will be key in implementing the company's multitier channel strategy, addressing sales and distribution of the company's Hard Hat Linux subscriptions in OEM segments, including Internet appliances, communications infrastructure, industrial control, and defense. With more than fifteen years of experience at both software and hardware companies, Warner has held executive and management positions at several large public firms, including Electronics for Imaging, Sybase and Tandem Computers. Prior to joining MontaVista, Warner was vice president and chief financial officer of The EC Company, a provider of business-to-business e-commerce services, with responsibility for corporate finance, legal affairs, and human resources. A distinguished academic, Warner received a bachelor's degree from the University of California, Davis and an MBA in finance from University of California at Los Angeles.
